About this workshop:<\/strong><\/p>\n

Join us to get a birds eye view of the legal landscape when it comes to starting a business. We will explore different forms of business organizations.<\/p>\n

Sole Proprietorships<\/em><\/p>\n

– what does it means to be a sole proprietor? What are the advantages and disadvantages of this structure of business?<\/p>\n

Partnerships<\/em><\/p>\n

– how and when can a partnership arise? What are some advantages and disadvantages flowing from this particular structure?<\/p>\n

Incorporation<\/em><\/p>\n

– much of the presentation will focus on the characteristics, advantages and disadvantages of a corporation (i.e. ownership, continuity, limited liability, tax planning, employee stock options etc.).<\/p>\n

– how does input at the start-up stage impact the division of equity amongst key stakeholders and directly corresponding, the importance of a shareholders\u2019 agreement while the parties are in good spirits<\/p>\n

About the speakers:<\/strong><\/p>\n

Paul Salvatore is a business lawyer with over 30 years\u2019 experience. His practice is focused in the areas of mergers and acquisitions, debt and venture financings and corporate reorganizations. Beyond his transactional practice, he has counselled clients on corporate governance matters, succession planning, shareholder dispute resolution and contractual matters.<\/p>\n

Zachary Murray is an associate in the firm\u2019s Business Law team and helps clients with incorporations, shareholder agreements, the purchase and sale of businesses, commercial leasing, franchising, and related corporate and commercial law matters.<\/p>\n
