Choosing how to structure your business is one of the first legal decisions you’ll make, and it shapes everything from your personal liability to how you pay taxes and bring on partners. Join us to get a bird’s eye view of the legal landscape when it comes to starting a business. We will explore different forms of business organizations.

Sole Proprietorships

• What does it mean to be a sole proprietor? What are the advantages and disadvantages of this business structure, and when does it make sense to start here?

Partnerships

• How and when can a partnership arise, sometimes without the parties even realizing it? What are some of the advantages and disadvantages that flow from this structure?

Incorporation

• Much of the presentation will focus on the characteristics, advantages and disadvantages of a corporation, including ownership, continuity, limited liability, tax planning, and employee stock options.
• How do contributions at the start-up stage affect the division of equity among key stakeholders? We’ll also discuss the importance of putting a shareholders’ agreement in place early, while everyone is still in good spirits.
